1. Introduction

These Terms & Conditions ("Agreement") govern participation in the Zumba Wear Europe Affiliate Program ("Program") operated by Zumba Wear Europe Ltd ("Company"). By joining the Program, the participant ("Affiliate") agrees to comply with all terms herein.

2. Eligibility

• Affiliates must be at least 18 years old or the legal age in their country.
• Affiliates must provide accurate, complete registration information and maintain up-to-date details.
• The Company reserves the right to approve or deny any Affiliate application at its sole discretion.

3. Commission Structure

• Affiliates earn commissions on eligible consumer sales referred via their unique UTM affiliate link.
• Commission is calculated per calendar month, from the 1st day until the last day of each month.
• Monthly commission may vary based on the sales total reached for that month; the applicable tier is determined by the total eligible sales for that month.
• Commission tiers:
  • 3% for monthly sales under €500
  • 5% for monthly sales of €500–€1,000
  • 10% for monthly sales of €1,000–€2,000
  • 15% for monthly sales over €2,000
• No commission is paid on sales to ZIN, ZES, ZJ, or wholesale/reseller accounts.
• Commission is calculated on the net order value (excluding VAT, shipping, returns, refunds, and discounts).
• Orders cancelled, refunded, or returned are not eligible for commission.

4. Tracking & Attribution

• Affiliates are provided with a unique UTM tracking link.
• Only sales completed within the same session as the affiliate click are eligible for commission.
• The Company is not responsible for tracking failures due to user settings, browser restrictions, ad blockers, or technical issues.

5. Payment & Payouts

• Commissions are paid every 6 months, provided the Affiliate’s balance is at least €50.
• Payment is made via invoice (bank transfer or PayPal) or Zumba Wear voucher, as chosen by the Affiliate.
• Affiliates must submit an invoice to receive cash payouts.
• Unpaid commissions under €50 will roll over to the next payout period, but will expire if the threshold is not reached by the following payout period.
• Affiliates are responsible for any taxes or fees related to their earnings.

6. Promotional Guidelines

• Affiliates may use only Company-approved promotional materials and must comply with brand guidelines.
• Affiliates may not make false, misleading, or unsubstantiated claims about the Company or its products.
• Use of spam, unsolicited messages, or misleading advertising is strictly prohibited.
• Affiliates may not use unauthorized paid search ads, trademark bidding, or impersonate the Company.

7. Intellectual Property

• All trademarks and logos are the property of Zumba Fitness LLC and its licensors.
• All other content remains the property of Zumba Wear Europe Ltd and its licensors.
• Affiliates are granted a limited, non-exclusive, revocable right to use approved materials for Program promotion only (not a license).
• Affiliates may not alter, modify, or create derivative works from Company materials without written consent.

8. Confidentiality

• Affiliates may not disclose confidential information, including but not limited to commission rates, customer data, or non-public Company information.

9. Data Protection & Privacy

• Affiliates must comply with all applicable data protection and privacy laws (e.g., GDPR).
• Affiliates may not collect or misuse customer data obtained through the Program.

10. Term & Termination

• This Agreement is effective upon Affiliate acceptance and continues until terminated by either party.
• The Company may terminate or suspend an Affiliate’s participation at any time for breach of these terms, suspected fraud, or any reason at its sole discretion.
• Upon termination, unpaid commissions under the threshold are forfeited; eligible commissions above the threshold will be paid in the next cycle.
• Affiliates must cease use of all Company materials upon termination.

11. Limitation of Liability

• The Company is not liable for indirect, incidental, or consequential damages related to the Program.
• The Affiliate participates at their own risk.

12. Modifications & Notifications

• The Company reserves the right to update or modify these Terms & Conditions at any time. The latest version will always be listed on the website, and affiliates are responsible for regularly checking for updates.
• Notice of changes will be posted on the website. Affiliates will not receive individual notifications but are expected to review the latest version regularly.
• Changes take effect 30 days after posting. Continued participation in the Program after changes take effect constitutes acceptance of the revised terms.

13. Governing Law & Jurisdiction

• This Agreement is governed by the laws of Bulgaria. Any disputes shall be resolved in the courts of Varna, Bulgaria.

14. Miscellaneous

• This Agreement constitutes the entire understanding between the parties regarding the Program.
• If any provision is found invalid, the remainder remains in effect.
• Failure to enforce any right does not waive that right.
